1 INTRODUCTION

1.1 The ICC Fan Passport is a loyalty programme offered by ICC Business Corporation FZ LLC (“IBC”) to eligible participants, in which “Players” may earn non-monetary reward points (“Runs”) which can be redeemed against available Rewards.

1.2 Please read these terms carefully to determine if you are eligible to participate in the ICC Fan Passport, and to familiarise yourself with the basis on which Runs may be earned and Rewards awarded, varied or cancelled.

1.3 By activating your Account, you confirm that you are eligible to participate in the ICC Fan Passport (in accordance with the criteria set out below) and you agree to be bound by these terms and conditions (“Terms”), the Website Terms of Use governing use of the IBC Platform and the IBC’s Privacy Policy, without any reservation.

1.4 IBC reserves its right to amend these Terms at any time, at its absolute and exclusive discretion, and such amendment will enter into force upon posting the revised Terms on the IBC Platform (or at a later date, if so decided at IBC's sole and absolute discretion). If you do not wish to be bound by such amendment you must cease to access your Account. IBC shall not be liable for any loss suffered by you resulting from any amendment made to the Terms and you shall have no claims against IBC in this regard.

2 DEFINITIONS

2.1 “Account” means your individual ICC Fan Passport account, accessible via the IBC Platform, containing information about your Membership, including your Runs balance.

2.2 “Activity” means an activity organised by or on behalf of IBC, or a Rewards Partner, where participation in such activity qualifies you to earn Runs.

2.3 “IBC Platform” means the IBC website and/or official mobile application.

2.4 “Player” or “Member” means an Account-holder, and “Membership” shall be construed accordingly.

2.5 “Rewards” means any benefit, including good or service, that IBC or a Rewards Partner may offer you in connection with the ICC Fan Passport.

2.6 “Rewards Partner” means a commercial partner of IBC that offers Activities and/or Rewards.

2.7 “Tier” shall mean your leadership board tier level determined by the number of Runs you have accumulated in accordance with these Terms.

2.8 "We", "Our" or "Us" or “IBC" shall mean IBC, and/or any subsidiaries, affiliates, employees, directors, representatives, officers, agents, suppliers, consultants and contractors.

3 ELIGIBILITY

3.1 The ICC Fan Passport is free to join and no purchase is necessary.

3.2 Application for an Account and participation in the ICC Fan Passport is open to any individual who is at least 18 years of age. If you are over 18 but under the age of legal majority in your country, you confirm that you have the permission of a parent or legal guardian to join the ICC Fan Passport. If we learn or have reason to suspect that you are under 18 years of age or the age of legal majority in your country, we shall be entitled to suspend or terminate your access to the ICC Fan Passport and your Account.

3.3 The ICC Fan Passport is not available to you if you are an employee, director or officer of IBC, any person involved in the development, operation or maintenance of the ICC Fan Passport, or a player or member of staff or family member thereof of any team participating in any ICC competition.

3.4 If you do not meet all of the eligibility criteria above, you must not participate in the ICC Fan Passport.

3.5 Registration may not be available in certain countries, and IBC may restrict or block access to the ICC Fan Passport in certain countries or by residents or nationals of such countries.

4 MAKING RUNS

4.1 Players can earn Runs by participating in Activities, starting on and from completion their Account registration. Full information about Activities (including the criteria for earning Runs and the number of Runs available in respect of each Activity) is available on the IBC Platform and may be updated from time to time.

4.2 Runs will be credited to a Player’s Account after successfully meeting the criteria in respect of each Activity that they complete. Partially completed Activities may not earn any Runs.

4.3 IBC reserves the right to remove Runs from Players where they have been allocated in error (including, without limitation, due to any technical error).

4.4 Runs may only be used to redeem Rewards. Runs have no cash value and will not be converted into or exchanged for cash or credit in any circumstances. Runs or Rewards cannot be sold, assigned or transferred to any other person, including for payment or any other form of valuable consideration.

4.5 Runs expire on 4th July 2024 unless otherwise specified by IBC. IBC reserves the right to modify the expiration date without notice.

5 LEADERBOARD

5.1 Each Player’s accumulated Runs will be used to place them on the overall ICC Fan Passport leaderboard (which will be published on the IBC Platform) in the following Tiers:

• 5.1.1 Amateur;
• 5.1.2 Professional;
• 5.1.3 International;
• 5.1.4 Legend; and
• 5.1.5 Hall of Fame.

5.2 The number of Runs required to reach each Tier will be specified on the IBC Platform and may be updated from time to time.

5.3 Your name and/or username may be published on the IBC Platform. You hereby consent to the use by IBC of your name or username for future promotional, marketing and publicity purposes of the IBC or the ICC Fan Passport without any compensation or prior notice.

6 REWARDS

6.1 Players will become eligible for Rewards based on the Tier they have achieved. Full details of Rewards will be set out on the IBC Platform. IBC reserves the right to amend the available Rewards due to availability, or to substitute a reward of comparable or greater value (at IBC’s sole discretion) for any reason.

6.2 IBC reserves the right to distribute rewards for each Tier on a first-come-first-served basis where availability is limited, and IBC will have the final decision in all matters relating to issuing rewards.

6.3 Where any reward takes the form of an entry for any contest or sweepstake, full terms of that entry will be notified at the point of entry. If you do not agree to the terms of that contest or sweepstake, you may withdraw your entry. Such rewards may not be available in certain countries.

6.4 IBC reserves the right to cancel, terminate, modify or suspend the ICC Fan Passport programme (in whole or in part) for any reason, including, but not limited to, due to infection by computer virus, bugs, tampering or unauthorized intervention, fraud, technical failures or any other causes beyond the control of IBC. If any errors result in awarding Rewards to you, you shall not be entitled to these Reward(s). You shall immediately inform IBC of the error and, if applicable, shall return the Reward(s) to IBC (as directed by IBC).

7 All tax, duties and other liabilities arising from Players’ (i) accumulation of Runs, or (ii) receipt and use of Rewards, are and remain the sole responsibility of each Player and must be paid prior to the issuance of any Reward. IBC gives no warranty or assurance in relation to such tax, duties or other liabilities.

8 ACCOUNT USAGE

8.1 Accounts are not transferable. Players are not permitted to hold more than one Account.

8.2 You shall be fully and solely responsible to reserve in confidentiality your Account username and password ("Account Details") and not to transfer them to another person. The full responsibility for any unauthorized use of your Account Details lies solely with you, and you alone will bear all responsibility derived from any unauthorized use of your Account Details. If you misplace, forget or lose your Account Details because of anything other than IBC's error, IBC shall not be liable for any direct or indirect loss associated with such occurrence.

8.3 You are only allowed to have one Account. If you participate with more than one Account, IBC may block or close any and/or all of your Accounts at its sole and absolute discretion; in which case IBC may void any Runs and/or Rewards.

8.4 IBC may at its sole and absolute discretion and without having to provide justification, refuse to open an Account or close an existing Account.

8.5 By opening an Account, you hereby represent, warrant, acknowledge and undertake that (a) the details you submit during the registration process are true and correct, and that you will update them, immediately upon any change thereto, (b) your Account is for your personal use only and shall not be used by any third party or for the benefit of any third party, (c) it is your responsibility to read and understand the rules as provided in these Terms and that you fully understand them, (d) you have verified and determined that your participation in the ICC Fan Passport does not violate any laws or regulations of any jurisdiction that applies to you, (e) you are solely responsible for recording, paying and accounting to any relevant governmental, taxation or other authority for any tax or other levy (including, but not limited to, VAT and customs) that may be payable due to your participation in the ICC Fan Passport (including, but not limited to, on account of winning and/or receiving prizes), (f) you will participate in the ICC Fan Passport in good faith towards IBC and others participating in the ICC Fan Passport, (g) IBC may at its sole discretion, decide whether to open, maintain, suspend and/or close your Account, as well as void all prizes won via the Account, (h) you shall be solely responsible for maintaining the confidentiality of your Account Details (including your user name and password required for entering your Account), and for any and all actions and transactions taken in connection with your Account by anyone who enters your Account while using your Account Details, and all such actions shall be deemed as actions taken by you, (i) you will immediately inform IBC of any suspected unauthorized use of your Account, (j) you have not had an Account in the past which was terminated or suspended by IBC, and (k) you shall indemnify Us and hold Us harmless, from and against all direct and indirect claims, liabilities, damages, losses, costs and expenses, including legal fees, arising out of or in connection with any breach of these Terms by you, and any other liabilities arising out of your use of the IBC Platform or any unauthorized use of the IBC Platform by any third party.

8.6 Members must not misuse their Membership in the ICC Fan Passport, including by:

• 8.6.1 engaging in illegal or fraudulent activities; or
• 8.6.2 selling, assigning, transferring or acquiring, or offering or advertising to sell, assign, transfer or acquire any Runs, Reward, or other benefit offered to Members other than in accordance with the Terms.

8.7 In the event of a suspected breach of these Terms by a Member, IBC reserves the right to terminate a Member’s Account in accordance with these Terms. In the event of such termination, any unredeemed Runs will be forfeited.

9 LIMITATION OF LIABILITY

9.1 SAVE AS CANNOT BE EXCLUDED BY LAW, NO WARRANTY (WHETHER EXPRESS OR IMPLIED) WHATSOEVER IS GIVEN IN RESPECT OF ANY REWARDS. IN PARTICULAR, NO WARRANTY IS GIVEN WITH RESPECT TO THE QUALITY OF REWARDS OR THEIR SUITABILITY FOR ANY PURPOSE.

9.2 TO THE EXTENT PERMITTED BY LAW, IBC ACCEPTS NO LIABILITY IN RESPECT OF DEATH OR INJURY ARISING FROM, OR IN CONNECTION WITH, THE USE OF THE ICC FAN PASSPORT OR THE SUPPLY OF A REWARD OR FOR THE LOSS, THEFT OR DESTRUCTION OF A REWARD.

9.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any matter in respect of which it would be unlawful for Us to exclude or restrict our liability.

9.4 In no event shall we be in any way liable for any direct, indirect, incidental, special, consequential or exemplary damages, damages for loss of profits, connectivity, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages) or any other damages or losses whatsoever arising in any way from or in connection with the use of or inability to use the IBC Platform or the ICC Fan Passport or any information, data or material contained on or obtained thereon, whether arising in an action in contract, negligence or other tort action.

9.5 We are not responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of data or information and any direct or indirect loss which arises from these occurrences. We are not responsible for any problems or technical malfunction of any network or lines, Wi-Fi, Bluetooth, computers, systems, servers or providers, computer equipment, software or email on account of technical problems or traffic congestion on the internet or at any website, mobile site or mobile application. We shall not be responsible or liable to you in the event of systems or communications errors, bugs or viruses relating to the IBC Platform and/or your Account or which will result in damage to your hardware and/or software and/or data.

9.6 We make no representations about the suitability, reliability, availability, timeliness and accuracy of the information, software, products and/or services contained and/or offered at the IBC Platform for any purpose. All information, software, products and services are provided "as is" without warranty of any kind. We hereby disclaim all warranties with respect to information, software, products and services contained or offered at the IBC Platform, whether express or implied.

9.7 We shall have no liability with respect to any damage or loss that was caused due to reliance, of any type, on the information or any other publication or content appearing at the IBC Platform, and you are invited to verify the information published at the IBC Platform.

9.8 We shall not be responsible or liable for any actions or omissions of internet service provider or any other third party which provides you with access to the IBC Platform.

9.9 We shall not be responsible for any damage or loss you shall incur as a result of modifications, enhancement, termination, suspension, or discontinuation of the IBC Platform. We will not be responsible for any damage or loss you shall incur as a result of your use or reliance on the content of any website, mobile site and/or mobile application to which links appear on the IBC Platform.

9.10 The IBC Platform, services, IBC Platform's content and the software used in connection therewith are provided "as is", and We make no warranty or representation, whether express or implied (whether by law, statute, or otherwise), including but not limited to implied warranties and conditions of merchantability, satisfactory quality, fitness for a particular purpose, completeness, accuracy and/or non-infringement of third parties' rights or of applicable laws and regulation in respect of the IBC Platform, IBC Platform's content and the software used in connection therewith, or that the IBC Platform, IBC Platform's content and the software used in connection therewith will be uninterrupted, timely, secure or error-free, or that defects will be corrected, or will be free of viruses or bugs or as to results or the accuracy of any information through the IBC Platform or IBC’s services.

10 SUSPENSION AND TERMINATION

10.1 You may cancel your Account by using the “delete account” option within your Account settings.

10.2 In the event of your death or bankruptcy, your Account shall terminate immediately.

10.3 IBC may in its absolute discretion suspend, cancel or terminate your Account.

10.4 In the event of any cancellation or termination of an Account, any Runs or Rewards held in such Account may be voided and thereafter shall be unavailable, and no cash value shall be credited or paid in respect of such Runs or Rewards.

11 PROVIDED CONTENT

11.1 Activities may require you to submit information, material or content (including video content) (“Content”). You are under no obligation to do so and, where you choose to do so, you acknowledge that Content is provided subject to these Terms. Content may contain you (or another's) voice, image, photograph, statements, biographical information, performances, name and likeness and other user-generated content.

11.2 You warrant that your Content does not: contain material that violates or infringes another’s rights or reflects a political statement, including but not limited to privacy, publicity or intellectual property rights; contain brand names or trademarks, other than those of IBC, which you have a limited licence to use for the sole purpose of the Activity; contain copyrighted material not created by you, other than material that you have necessary rights, consents and permissions to use; contain material that is offensive, distasteful, dangerous, inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous and obtain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where the Content is created. If any Activity is run via one or more third party platform(s), you warrant and represent that your entry does not infringe the terms of such third party platform(s).

11.3 As consideration for your participation in ICC Fan Passport and the opportunity for you to earn Runs, you will assign to IBC all rights as set forth in the applicable law and to Content to the broadest extent possible and shall execute all public or private instruments that might be requested for this purpose, as a condition to participate in ICC Fan Passport and shall execute the public and/or private instruments requested in this regard, which is an essential condition to participate in ICC Fan Passport. To the extent that rights are not assignable, you grant to IBC a worldwide, unlimited, exclusive, royalty-free, transferable licence to use the Content for the purposes of this operating ICC Fan Passport, including but not limited to the display on any and all IBC and its affiliates’ websites, including social media websites. IBC does not guarantee any confidentiality with respect to Content. Subject to any licence, you grant herein, any and all Content that you upload, store, transmit, submit, exchange or make available to the website is generated, owned and controlled solely by you, and not by IBC. It is solely your responsibility to monitor and protect any intellectual property rights that you may have in your Content, and IBC does not accept any responsibility for the same. You expressly acknowledge that you and any person who appears in the Content have the right to decline use of the Content for marketing material.

11.4 You represent and warrant that all necessary rights, permissions, consents and moral rights’ waivers (in the broadest extent permitted by applicable laws) have been duly and effectively obtained from any performer, presenter, contributor or other person involved in the Content or rights, services or facilities in connection with it.

11.5 To the extent permitted by applicable law, Players may be requested to take part in promotional activity and IBC reserves the right to use the names and addresses of Players, their photographs and audio and/or visual recordings of them in any promotional material to the extent each Player agrees. IBC will seek the consent of the Player, where required. You expressly acknowledge that you and any person who appears in the Content have the right to decline use of the Content for marketing material.

12 INTELLECTUAL PROPERTY

All the rights, including the intellectual property rights (i.e., patents, copyright, trademarks, service marks, logos, trade names, know-how or any other intellectual property right) concerning the ICC Fan Passport, and all of the content, including, but not limited to, programs, files, video, audio, pictures, graphics, pictures, text and software (collectively the "Rights"), are and shall remain the sole and exclusive property of IBC and/or any of its licensors. You may not use any of the Rights without the express prior written approval of IBC, except pursuant where these Terms explicitly allow this, and you shall not, by using the IBC Platform or otherwise, acquire any rights in and/or to any of the Rights. Without derogating from the above, you are strictly prohibited from: (i) copying, redistributing, publishing, reverse engineering, decompiling, disassembling, modifying, translating or making any attempt to access the source code of the ICC Fan Passport, (ii) creating derivate works of the source code; (iii) selling, assigning, licensing, sublicensing, transferring, distributing the ICC Fan Passport and/or ICC Fan Passport’s content, and/or (iv) making the ICC Fan Passport available to any third party.

13 CUSTOMER SUPPORT

13.1 You may contact IBC in connection with anything related to the IBC Platform and/or the ICC Fan Passport via Our customer support, which is available at social@icc-cricket.com. You may raise complaints for 6 months from the date of the incident of which you are making a complaint.

13.2 IBC will not tolerate any abusive behaviour exhibited by you towards IBC's employees and/or other people acting on its behalf. In the event that IBC, at its sole and absolute discretion, deems that your behaviour, via telephone, live chat, email or otherwise, has been abusive or derogatory towards any of IBC's employees and/or other people acting on its behalf, IBC may, at its sole and absolute discretion, suspend and/or terminate your Account and void any Runs and/or Rewards awarded to you.

14 GENERAL

14.1 These Terms constitute the entire agreement between you and IBC with respect to the ICC Fan Passport, and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

14.2 IBC’s failure to exercise, or delay in exercising, any right, power or remedy provided by these Terms, the documents referenced herein or by law shall not constitute a waiver of that right, power or remedy.

14.3 If any provision of these Terms is held by a court of competent jurisdiction to be unenforceable under applicable law, then such provision shall be excluded from these Terms and the remainder of these Terms shall be interpreted as if such provision was so excluded and shall be enforceable in accordance with its terms; provided, however, that in such event these Terms shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction.

14.4 Please note that these Terms are governed by English law. This means that any dispute or claim arising out of or in connection with ICC Fan Passport (including non-contractual disputes or claims) will be governed by English law and will be governed by the jurisdiction of the courts of England and Wales.
